Terms of Service
1. Agreement to these terms
These Terms of Service ("Terms") govern your access to and use of denizenblu.com, the Denizen Blu API (including bluroute.denizenblu.com), and the Denizen Blu web playground (together, the "Service"). By creating an account, completing identity verification, or using the Service in any way, you agree to be bound by these Terms. If you're agreeing on behalf of an organization, you're representing that you have the authority to bind that organization, and "you" refers to both you and the organization.
If you don't agree to these Terms, don't use the Service. Our Fair Use Policy is incorporated into these Terms by reference — where this document and the Fair Use Policy address the same topic, the more specific terms of the Fair Use Policy control.
2. The service
Denizen Blu provides API access to a catalog of AI language, image, and audio models — including models we've trained or fine-tuned ourselves ("Denizen Originals") and third-party open-weight models we host ("Catalog Models") — through an interface compatible with the OpenAI API, plus a web playground for interactive use. The Service is billed per seat, not per token: see Subscriptions & Payment and our Fair Use Policy.
We may add, change, or discontinue individual models, features, or endpoints at any time. We'll make a reasonable effort to give notice before removing a model or endpoint you're actively using, but an unannounced upstream change to a third-party open-weight model (a new version, a license change, or its withdrawal by its publisher) is outside our control.
3. Accounts & verification
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. You're responsible for maintaining the security of your account credentials and API keys, and for all activity that happens under your account, whether or not you authorized it — notify us immediately at /feedback if you suspect unauthorized access.
Because unmetered pricing only works when a seat maps to one real person, we may require you to complete identity verification before granting or continuing access. You agree that any information you provide during verification is accurate and belongs to you, and that you'll keep your account and billing information current.
4. Fair Use
A seat is unmetered for interactive use by one person, up to the benchmark published in our Fair Use Policy (currently 50 million output tokens per seat per month). Running substantially above that benchmark may result in reduced scheduling priority for that seat during peak demand — it will never result in an additional charge, a hard cutoff, or a terminated session, except as described in Acceptable Use or Termination below for conduct that separately violates these Terms.
A seat may not be shared as a single access point for multiple people or used to front automated, unattended, or bot-driven traffic at a volume inconsistent with one person's interactive use. If your use case genuinely requires that kind of throughput, our Enterprise plans provide dedicated capacity built for it.
5. Acceptable use
You agree not to use the Service to:
- Violate any applicable law, or generate content that infringes, defames, harasses, or violates the privacy or other rights of any person;
- Generate or facilitate child sexual abuse material, or content that sexualizes minors in any way;
- Develop weapons, malware, or other tools intended to cause harm to people, systems, or infrastructure;
- Attempt to circumvent rate limits, Fair Use scheduling, content moderation, or other technical restrictions we put in place;
- Scrape, reverse engineer, decompile, or attempt to extract the underlying model weights, training data, or source code of the Service, except to the extent a Catalog Model's own open-source license expressly permits it;
- Misrepresent AI-generated output as human-created in a context where that distinction is legally required to be disclosed;
- Resell or sublicense access to the Service to third parties without our prior written consent, other than by building your own product on top of the API in the ordinary course; or
- Interfere with or disrupt the integrity or performance of the Service, including through excessive automated load inconsistent with Fair Use.
Prompts and outputs for image and audio generation pass through automated content moderation before dispatch; we may decline to fulfill a request that trips that moderation, independent of any billing or Fair Use consequence.
We may suspend or terminate access for a violation of this section as described in Termination.
6. Models, inputs & outputs
Between you and us, you retain ownership of the prompts, files, and other content you submit to the Service ("Inputs") and, to the extent permitted by applicable law and any underlying model license, the content generated in response ("Outputs"). You grant us a license to process Inputs and Outputs as necessary to operate, secure, and improve the Service, including routing your request to the model and infrastructure that will serve it.
Catalog Models are provided under their own open-weight licenses (for example, Llama, DeepSeek, Qwen, or Mistral family models), which may impose their own conditions on your use of their Outputs. You're responsible for reviewing and complying with those upstream licenses where they apply; we'll do our best to surface which license governs a given model, but we don't own or control those models and make no representations about their license terms on the model publisher's behalf.
AI-generated Output can be inaccurate, incomplete, or inappropriate for your use case, including for Denizen Originals. Don't rely on Output as a substitute for professional legal, medical, financial, or other expert advice, and independently verify anything you intend to rely on for a consequential decision.
7. Subscriptions & payment
Paid plans are billed per seat, in advance, on a monthly (or otherwise agreed) subscription cycle through our payment processor, Stripe. Seats added mid-cycle are prorated; seats removed take effect at the end of the current billing cycle unless we say otherwise. Subscriptions renew automatically until canceled — you can cancel anytime from your account, and cancellation stops future renewals but doesn't refund the current billing period.
Where we offer a free trial, its length and terms will be presented at signup; we may end or modify trial offers at any time. Prices are subject to change on notice; a price change takes effect at your next renewal, not retroactively.
8. Service availability
We work to keep the Service available and publish real-time status and incident history at /status. Except where a separate written enterprise agreement states an uptime commitment, we don't guarantee uninterrupted or error-free operation, and we may perform maintenance, apply security fixes, or make other changes that cause temporary downtime.
9. Intellectual property
We and our licensors own all right, title, and interest in the Service itself — its software, infrastructure, branding, and documentation — apart from your Inputs, your Outputs, and any Catalog Model weights owned by their respective publishers. Nothing in these Terms transfers any of our intellectual property to you except the limited right to use the Service as described here.
10. Feedback
If you send us feedback, bug reports, or suggestions — including through /feedback — you grant us the right to use that feedback for any purpose, including improving the Service, without any obligation or compensation to you.
11. Privacy
Our Privacy Policy describes how we collect, use, and share information — including account, identity-verification, and API usage data — and is incorporated into these Terms by reference.
12. Disclaimer of warranties
EXCEPT TO THE EXTENT PROHIBITED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE AND OUR LICENSORS DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE, OR THAT ANY CONTENT YOU STORE THROUGH THE SERVICE WILL NOT BE LOST OR ALTERED.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY, NOR EITHER PARTY'S AFFILIATES OR LICENSORS, WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, USE, OR DATA, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EACH PARTY'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS ($100). These limits apply only to the maximum extent permitted by applicable law — some jurisdictions don't allow the exclusion of certain warranties or the limitation of certain damages, so some or all of the limitations above may not apply to you, and you may have additional rights.
14. Indemnification
You'll defend, indemnify, and hold us harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from your Inputs, your use of Outputs, or your violation of these Terms or applicable law.
15. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access, with or without notice, for a material breach of these Terms — including the Acceptable Use section — or where required by law or to protect the security or integrity of the Service. Sections that by their nature should survive termination (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) will survive.
16. Changes to these terms
We may update these Terms from time to time. For material changes, we'll provide reasonable notice — such as posting an update here with a new effective date, or emailing the address on your account. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
17. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles, and any dispute not otherwise resolved informally will be brought exclusively in the state or federal courts located in Delaware. 18. General provisions
These Terms, together with the Fair Use Policy and any order form or enterprise agreement you've signed with us, are the entire agreement between you and us regarding the Service and supersede any prior agreements on the same subject. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision isn't a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
You'll comply with applicable export control and economic sanctions laws in your use of the Service, and you represent that you're not located in, or ordinarily resident in, a country or region subject to comprehensive U.S. government embargo, and that you're not on any U.S. government denied- or restricted-party list.
